1. Agreement to Terms

By accessing or using Spawn ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Spawn provides AI-powered idea validation and MVP generation services. The Service analyzes URLs containing market research, user complaints, or discussions to generate validated product concepts and optionally working MVP code.

3. User Accounts and Subscriptions

Free Tier: Limited to 3 validations per month. No credit card required.

Pay-as-you-go: $29 per validation with working MVP code generation.

Pro Subscription: $79/month for unlimited validations and MVP generation. Subscription automatically renews monthly unless canceled.

You may cancel your Pro subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Submit content that infringes intellectual property rights
  • Attempt to bypass usage limits or access restrictions
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems to access the Service without authorization
  • Resell or redistribute generated content or code without proper licensing

5. Intellectual Property

Service Content: All content, features, and functionality of Spawn are owned by Genesis Protocol and are protected by intellectual property laws.

Generated Content: You own the MVP code and product concepts generated through paid tiers (Pay-as-you-go and Pro). Free tier validations are for evaluation purposes only.

User Content: You retain ownership of URLs and content you submit. By submitting content, you grant us a license to process and analyze it for Service delivery.

6. Payment Terms

All fees are in USD and non-refundable except as required by law. We use Stripe for payment processing and do not store your payment information.

Pro subscriptions automatically renew. We will charge your payment method on file at the start of each billing period.

Failed payments may result in service suspension. You are responsible for maintaining valid payment information.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may suspend the Service for maintenance, updates, or emergency repairs with minimal notice when possible.

8. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

  • Accuracy or completeness of AI-generated validations or code
  • Commercial success of generated product ideas
  • Error-free or bug-free generated code
  • Compatibility with all third-party services or platforms

Generated code requires review and testing before production use. You are solely responsible for implementation decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPAWN AND GENESIS PROTOCOL SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from use of generated code or product ideas
  • Any amount exceeding fees paid in the 12 months prior to the claim

10. Indemnification

You agree to indemnify and hold harmless Spawn, Genesis Protocol, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without notice, for conduct violating these Terms or harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Service notification. Continued use after changes constitutes acceptance of new Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
